Terms of Service

1. Acceptance of Terms

By accessing or using the PriorDM platform ("Service"), including our website, mobile applications, and APIs, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. PriorDM reserves the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

2. Account Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must be at least 18 years of age to create an account.

Each person may maintain only one account. PriorDM reserves the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are fraudulent, duplicated, or impersonating another person.

3. Messaging & Payments

PriorDM is a paid messaging marketplace. Creators set a price per incoming message. When a sender pays the creator's price to send a message, the payment is held in escrow by PriorDM until the creator replies or the 24-hour reply window expires.

Payments are processed through third-party payment processors, including Stripe (for USD transactions) and Cashfree (for INR transactions). By using the Service, you agree to the terms and privacy policies of these payment processors. PriorDM does not store your full payment card details.

Senders are charged the creator's set price at the time of sending a message. Prices are displayed in the applicable currency before the message is sent. All payments are final once a reply is received, subject to the refund policy below.

4. Escrow System

All message payments are held in escrow by PriorDM. The escrow system works as follows:

  • When a sender pays for a message, the funds are held securely by PriorDM.
  • If the creator replies within 24 hours, the funds are released to the creator's PriorDM wallet.
  • If the creator does not reply within 24 hours, the funds are automatically refunded to the sender's PriorDM wallet.

The escrow system is designed to protect both senders and creators and ensure fair transactions on the platform.

5. Refund Policy

PriorDM offers an automatic refund guarantee. If a creator does not reply to a paid message within 24 hours of receipt, the full payment amount is automatically refunded to the sender's PriorDM wallet. No action is required from the sender to initiate this refund.

Once a creator has replied to a message, the payment is considered final and no refund will be issued for that message. For full details, please see our Refund & Cancellation Policy.

6. Platform Fees & Withdrawals

PriorDM charges a 10% platform fee on creator withdrawals. This fee is deducted at the time of withdrawal from the creator's wallet. There are no upfront costs, subscription fees, or hidden charges to use the Service.

7. Prohibited Content & Conduct

You agree not to use the Service to:

  • Send or solicit illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
  • Transmit spam, chain letters, or unsolicited commercial messages.
  • Upload or transmit viruses, malware, or any code of a destructive nature.
  • Attempt to gain unauthorized access to the Service, other user accounts, or any computer systems or networks connected to the Service.
  • Use the Service for any form of money laundering, fraud, or illegal financial activity.
  • Share content that exploits minors or contains child sexual abuse material.
  • Violate any applicable local, state, national, or international law or regulation.

PriorDM reserves the right to remove any content and suspend or terminate any account that violates these prohibitions, at our sole discretion and without prior notice.

8. Intellectual Property

The PriorDM name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of PriorDM. You may not use these marks without our prior written permission.

Content you submit, post, or display on or through the Service ("User Content") remains yours. By submitting User Content, you grant PriorDM a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content solely for the purpose of operating and providing the Service.

9. Limitation of Liability

To the maximum extent permitted by applicable law, PriorDM and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your access to or use of, or inability to access or use, the Service.
  • Any conduct or content of any third party on the Service.
  • Any content obtained from the Service.
  • Unauthorized access, use, or alteration of your transmissions or content.

In no event shall PriorDM's aggregate liability exceed the greater of one hundred US dollars (USD $100) or the amounts paid by you to PriorDM in the twelve (12) months preceding the claim.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

If your account is terminated, any funds in your PriorDM wallet will be handled in accordance with applicable law. Creators with pending earnings may request a final withdrawal, subject to verification and the standard 10% platform fee.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in India.

Before filing a claim, you agree to attempt to resolve any dispute informally by contacting us at legal@priordm.com. We will attempt to resolve the dispute informally within 30 days of receiving your notice.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service prior to the change becoming effective. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of the updated Terms.
